The agreement
These terms are an agreement between you and Kelviq, Inc., 2261 Market Street STE 46163, San Francisco, CA 94114, United States ("Kelviq", "we"). They cover the InboxMinder Pro app, its bundled command-line tool and background agent (together, "the app"), the free gatekeeper version, and the inboxminder.com website. By downloading, installing or using the app, or by buying a license, you accept them. If you are acting for a company, you confirm you may bind it, and "you" means the company.
The privacy policy is part of these terms. It explains what the app does with your data, and in particular that we never receive your mail.
Your license
When you buy InboxMinder Pro you receive a license key. It gives you a personal, non-exclusive, non-transferable right to install and use the app on one Mac at a time, for your own use or the use of your business, for as long as you like. A license is tied to the Mac it was activated on; to move it, deactivate it in Preferences (or with inboxminder license deactivate) and activate on the new machine. If a Mac is lost or wiped before you could deactivate, write to us and we will release the key.
One license may watch several mailboxes on that Mac through profiles. It may not be shared between people or installed on Macs belonging to different users; each person needs their own key.
The app checks the license with Kelviq from time to time. If it cannot reach us, it keeps working for 14 days on the last good answer, so an outage on our side never stops your mail. Only an explicit "invalid" answer from us, or 14 days with no answer at all, closes the gate; the app then falls back to the free version described below, and nothing you have is deleted.
The free version
Without a license, the app runs as the free gatekeeper: it labels and sorts your mail but does not write drafts, follow up, hand off to Linear or polish text. The gatekeeper is also published as open source under the AGPL-3.0 license at github.com/kelviq/inboxminder; that code is governed by its own license, and these terms apply to the version bundled in InboxMinder Pro. A license key that lapses turns Pro back into the gatekeeper, never into nothing.
Buying, taxes and refunds
Licenses are sold through Kelviq checkout. Kelviq, Inc. is the merchant of record: it is the seller on your card statement, it issues invoices, and it collects any sales tax or VAT that applies to your location. Payments are processed by Stripe under its own terms. Prices are in US dollars and are the ones shown on the pricing section at the moment you buy.
The price is a one-time payment. It does not include the AI usage you pay your provider for on your own key, which for most support inboxes comes to cents a day and is billed by them, not by us.
If InboxMinder Pro is not for you, we refund it within 14 days of purchase. The refunds page has the details.
What you are responsible for
- Every reply you send. The app writes an unsent draft and you decide whether, and in what form, it goes out. You are the author of your mail, including the parts a draft got wrong.
- Your Google account and Google Cloud project. You create the OAuth app that InboxMinder Pro signs in with, under Google's terms. Keep its credentials safe and revoke access when you stop using the app.
- Your AI provider and connector accounts. You choose them, you hold the keys, you pay their bills and you accept their terms. You decide what material you add to the index, and you confirm you may use it and send it to your provider.
- Your own laws. If you are subject to rules about where customer data may go, pick a provider and region that satisfy them, or run a local model. The app gives you the controls; you set them.
- Your Mac. Keep it, and the Keychain on it, secure. Anyone with access to your user account can read what the app can read.
AI output
Drafts, labels, summaries and polished text are produced by a language model working from your mail and your material. They can be wrong, incomplete, out of date or oddly phrased, and they can miss something a person would catch. The app is built so that nothing it does is hidden or irreversible: a wrong label is one click to change, a wrong draft is one click to delete, and when it is unsure it does nothing except mark the thread as needing you. Read every draft before you send it. We are not liable for the content of AI output or for anything you send based on it.
Third-party services
The app depends on services we do not run: Gmail, your AI provider, and the connectors you enable (Notion, Linear, Slack, GitHub, docs sites, MCP servers). Each may change, rate-limit, charge for or discontinue what it offers, and each is governed by its own terms and privacy policy. We are not responsible for their availability, their handling of your data or their fees. Downloads are hosted on GitHub and updates are fetched from there.
What you may not do
- Share, resell, rent or sublicense a license key, or use one key for several people.
- Circumvent, disable or tamper with the license check, the update signature check, or the safeguards that stop the app from sending or deleting mail.
- Reverse engineer, decompile or extract the source of the Pro app, except where the law lets you do so regardless of this clause.
- Use the app to send spam, to harass anyone, to impersonate someone you are not authorised to write for, or to break any law, including privacy and anti-spam law where your customers live.
- Use the app on a mailbox you do not have the right to access.
Updates and support
Updates are included with your license for as long as we publish them. The app checks for a new version once a day, and every update is signed and asks before installing. We may add, change or remove features between versions; we will not remove the core of what you paid for, which is drafting replies from your own material in your voice. There is no guarantee of any particular future feature.
Support is by email at hi@kelviq.com, from a small team. We answer as fast as we can and we read every message, but we do not promise response times or that every problem can be solved on every setup. See the support page for what to include.
Ownership
The app, its design, its name and this website belong to Kelviq and its licensors and are protected by copyright and trademark law. Your license is a right to use, not a transfer of ownership. Your mail, your documents, your index, your drafts and everything the app produces on your Mac are yours; we claim no rights in them and, since we never receive them, could not exercise any. If you send us feedback, we may use it to improve the app without owing you anything.
Warranty and liability
The app is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the app will be uninterrupted, error-free, or suitable for any particular mailbox, provider or workflow.
To the fullest extent the law allows, Kelviq will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, lost customers or business interruption, arising from the app or these terms, even if we were told they might occur. Our total liability for all claims together is limited to the amount you paid us for the license in the 12 months before the claim. Some places do not allow these limits, so they may not fully apply to you.
You agree to hold Kelviq harmless from claims by third parties that arise from mail you sent, material you indexed, or your breach of these terms.
Termination
You may stop using the app at any time by uninstalling it; the privacy policy explains how to remove everything it left behind. We may suspend or cancel a license key if it is being shared, resold or used to break these terms, after telling you why by email where we can. The sections on ownership, warranty, liability and governing law survive termination.
Governing law
These terms are governed by the laws of the State of California, excluding its conflict-of-laws rules, and any dispute will be brought in the state or federal courts in San Francisco, California. If you are a consumer in a country whose law gives you the right to sue at home or to keep local consumer protections, nothing here takes that away. If a court finds part of these terms unenforceable, the rest stays in force. These terms and the privacy policy are the whole agreement between us about the app.
Changes and contact
We may update these terms as the app grows. The date at the top will change, and material changes will be noted in the release notes of the version they ship with. Continuing to use the app after a change means you accept it; if you do not, stop using the app and, within 14 days of purchase, ask for a refund.
